Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ronin Coach website (ronin.coach), assessment platform, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Ronin Coach," "we," "us," "our" refers to the operator of the ronin.coach website and assessment platform.
• "Licensee," "you," "your" refers to the individual or entity that purchases a license to use the assessments.
• "Assessment" refers to any proprietary leadership or organizational assessment available through the platform.
• "Client" refers to individuals who complete assessments administered by a Licensee.
• "Platform" refers to the hosted assessment delivery system accessible at ronin.coach.
• "Report" refers to the auto-generated PDF documents produced when a Client completes an Assessment.

2. License Grant

Upon purchase of a valid license, Ronin Coach grants you a non-exclusive, non-transferable, revocable license to access and use the Assessments through the Platform for the duration of your license term, subject to these Terms and the tier-specific conditions of your license agreement.

This license permits you to administer Assessments to your Clients and use the resulting Reports in your professional coaching or consulting practice. It does not grant ownership of the Assessments, scoring methodologies, or underlying intellectual property.

3. License Tiers

Licenses are offered in four tiers with the following parameters:

• Solo License ($397/year): 1 practitioner, standard branding
• Firm License ($997/year): Up to 5 practitioners, standard branding
• White-Label License ($2,497/year): Up to 5 practitioners, custom branding
• Agency License ($3,997/year): Unlimited practitioners, full custom branding

Specific terms for each tier - including practitioner limits, branding rights, and support levels - are detailed in the applicable license agreement provided at the time of purchase.

4. Acceptable Use

You agree to use the Service only for lawful professional purposes and in accordance with these Terms. You may not:

• Sublicense, resell, redistribute, or share your platform credentials with unauthorized users
• Reverse-engineer, decompile, or attempt to extract the scoring methodology, assessment logic, or underlying algorithms
• Copy, reproduce, or create derivative works from any Assessment content or Report templates
• Share Assessment files, Report templates, or platform access outside your authorized practitioner count
• Use the Assessments for any purpose other than professional coaching, consulting, or organizational development
• Misrepresent the Assessments as your original work (except as permitted under White-Label and Agency licenses)
• Attempt to access areas of the Platform not authorized under your license tier

5. Intellectual Property

All Assessments, scoring methodologies, Report templates, platform code, and associated content are the exclusive intellectual property of Ronin Coach. Your license grants usage rights only - no ownership or intellectual property rights are transferred.

The "Ronin Coach" name, logo, and associated marks are trademarks of Ronin Coach. You may not use these marks without prior written permission, except as required to identify the source of Assessments under Solo and Firm licenses.

White-Label and Agency Licensees receive permission to apply their own branding to the assessment interface and Reports as specified in their license agreement. This does not transfer ownership of the underlying Assessment content.

6. Payment and Renewal

• License fees are billed annually at the published rate for your selected tier
• Payment is due at the time of license purchase or renewal
• License upgrades are prorated for the remainder of the current term
• Refunds are available within 14 days of initial purchase if no Assessments have been administered
• We will send renewal reminders at least 30 days before your license expiration date
• Failure to renew will result in suspension of platform access at the end of the license term

7. License Expiration and Suspension

Upon license expiration or termination:

• Your access to the Platform will be suspended
• Previously generated Reports remain accessible for 90 days following expiration
• After the 90-day access period, Report data may be archived or deleted
• Renewal at any point reactivates full Platform access immediately
• We reserve the right to revoke license access immediately for material breach of these Terms

8. Data and Confidentiality

Assessment responses and Client data are governed by our Privacy Policy. In summary:

• Client assessment data is accessible only to the administering Licensee
• We do not sell, share, or distribute individual Client data
• We may use anonymized, aggregated data for assessment validation and research
• You are responsible for obtaining appropriate consent from your Clients before administering Assessments

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." Ronin Coach makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any Assessment or Report. Assessments are professional tools designed to support - not replace - professional judgment. You are solely responsible for how you interpret and apply Assessment results in your practice.

10. Limitation of Liability

To the maximum extent permitted by law, Ronin Coach shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of data, or damage to professional reputation. Our total liability for any claim arising from these Terms shall not exceed the license fee you paid for the current license term.

11. Indemnification

You agree to indemnify and hold harmless Ronin Coach from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your administration of Assessments to Clients.

12. Termination

Either party may terminate the license agreement at any time. You may cancel by not renewing your license. We may terminate your access for material breach of these Terms, with notice and a reasonable opportunity to cure where practicable. No refund is provided for termination due to breach.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated to active Licensees via email at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Philadelphia, Pennsylvania, unless otherwise agreed in writing.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the applicable license agreement and Privacy Policy, constitute the entire agreement between you and Ronin Coach regarding use of the Service. They supersede all prior agreements and understandings, whether written or oral.
